What Is A Confirmation Statement?

A confirmation statement (CS01) replaced the annual return on 30th June 2016 and is intended to confirm the information about your company, registered at Companies House, is accurate and up to date. The confirmation statement simplifies the way information about your company can be reported. Instead of filling out your company’s details once every 12 months, all that is needed now is for you to check and confirm the company information is correct. This will save you time therefore as you will not need to re-enter previously filed information, granted there have been no changes since the last confirmation statement.

What information do I need to include in a confirmation statement?

To complete a confirmation statement, firstly, you will need to check the information Companies House already holds is accurate and up to date.

There is a wide range of information you can update in the additional information section of the statement, including:

  • Standard Industrial Classification (SIC) code
  • Statement of capital
  • Trading status of shares
  • Exemption from keeping a register of people with significant control
  • Shareholder information

If nothing has changed since the previous period, you must still file a confirmation statement to confirm the information Companies House holds is correct.

When do I need to file a confirmation statement?

Confirmation statements must be filed at least once a year, any time during your review period. For a new company, the confirmation date is the anniversary of the company’s formation. Whereas, existing companies must file their form on the anniversary of the previous confirmation date.

You have a 14-day period to file your confirmation statement to Companies House. However, if you forget to do this, you should file the form as soon as you remember. Filing your confirmation statement late can result in hefty fines and serious consequences, such as removal from the Companies House registry or loss of your limited liability status.
