This agreement governs the use of the Paramount Company Formations Limited website, including all associated and incidental services provided by Paramount Company Formations Limited resulting from the use of this website.

Paramount Company Formations Limited reserves the right, at its discretion, to change or modify all or any part of this Agreement at any time, effective immediately upon notice published on the website. Support

Paramount Company Formations Limited will provide technical support via email to help you through the process of submitting your Company Formation details and downloading your products.

We will also provide assistance with general queries regarding the completion of the relevant fields of Company Formation details; however we are not legal or financial advisers and are not authorised to provide legal or financial advice.

Timescales

All time scales quoted are approximate to the various government body it is related to and are dependent on possible backlogs and computer systems working normally and merely a rough guide and not guaranteed in any way. All timescales are also dependent on the client supplying all the information information requested in full.

Cancellation Policy

Clients purchasing the Paramount Company Formations Limited package online will not be eligible to cancel their order as transactions where the computer software is unsealed by the computer immediately on purchase is exempt under the Consumer Protection (Distance Selling) Regulations 2000.

Refund Policy

Any use of our service requires the client to utilise our automated software (where the computer software is ‘unsealed’ by the computer immediately on purchase). All transactions of this type are exempt under the Consumer Protection (Distance Selling) Regulations 2000.

Therefore, ALL FEES ARE NON-REFUNDABLE even if you were to change your mind. By using our services and products you agree to our Terms and Conditions.

Customer Care/Complaints

We have always prided ourselves in providing a full customer care service and it is our intention to deal promptly with all complaints that may arise in relation to the service that we provide within 14 days of receipt of the complaint. Normally, replies to any complaint would be made by E-mail or, if required, we can ensure that we can provide a telephone facility to discuss matters of a more complex nature.

Use of Company Names

Once you have checked that a company name is provisionally available and submitted your application do not make any business decision or begin using this/any name until you have received the Certificate of Incorporation though the post with your letters of confirmation from us allowing you to do so.

The use of any name is specifically prohibited until you receive the hard copy Certificate of Incorporation issued by Companies House through the post from ourselves.

Any expenses incurred by clients or use of any company name before receipt of their documents through the post is undertaken entirely at the client’s own risk.

Any company for which full transfer documents have not been returned and filed within eight weeks of incorporation will be considered as our property to sell on, regardless of the company or any other details already filed at companies house. Due to the current high level of credit card fraud no authorisation codes will be released until we are satisfied that the payment is secure.

Authorisation Codes

Authentication codes will only be released at our discretion on a case by case basis depending on receipt of ID and other factors and where we are satisfied that payment has been completed and the client is acting in a fit and proper fashion regarding payment and when we are satisfied that the due diligence checks have been completed by the appropriate bodies.

Ready Made Names

These are names that have been checked and are available to be registered. The Registar has the right to refuse registration of any name if in their opinion the name is too similar to that of another name. As per all incorporations these names should not be used or quoted in any way until you have received a copy of the certificate of incorporation showing it’s company number and date of registration. For those clients needing something pre-registered please refer to our list of names showing dates of incorporation. This does not include filing of the confirmation statement to transfer the shares which would require extra fees. The filing of the annual return would be done at the appropriate time by the new owners of the company.

In order to receive this service, and to comply with UK local and national laws, the Client must provide to the Company copies of the following forms of identification,

• A valid copy of a driving license, passport or European identity card;
• A valid copy of a utility bill, bank statement, local council or government letter that has the Client’s name and address on it.

Ownership of the company is only completed once you have returned your details with the requested ID and the details have been accepted by Companies House.

Therefore ownership of the company will remain with Paramount. Prior to this you cannot use the company in any way whatsoever.

Ownership details and ID must be returned within eight weeks to avoid having to pay any fees for using our registered address for the company by default. Should the above conditions not be met within eight weeks of your order we reserve the right to cancel the order and make the company available for sale to the public. Any possible refunds or partial refunds will be at Paramount’s discretion. Authentication codes will only be released at our discretion on a case by case basis depending on receipt of ID and other factors and where we are satisfied that payment has been completed and the client is acting in a fit and proper fashion regarding payment.

Ready made company shares

Cancelled Share Certificates – You should expect to receive the cancellation of shares in hard copy to prove that all the shares have been transferred to you.
Please be aware that this will only be updated with Companies House once a confirmation statement previously known as annual return has been filed.
Although they are usually only filed annually on the anniversary of the date of incorporation it is always recommended to file early to update Companies House of the new transfer of shares.

Epack

This pack consists of the registration only. This pack is for straightforward registrations only. This Consists of one director only and one shareholder only. For more than one director/shareholder you will have to use the basic formation. Formations that have sensitive wording or that require extra work will incur additional costs. No extra emails will be entered into outside of making sure we have all the information needed to complete the incorporation.

In order to receive this service, and to comply with UK local and national laws, the Client must provide to the Company copies of the following forms of identification,

• A valid copy of a driving license, passport or European identity card;
• A valid copy of a utility bill, bank statement, local council or government letter that has the Client’s name and address on it.

Vintage Companies

Purchase of vintage companies are bought on the understanding that they and any forms that need filing to bring them up to date (e.g. annual return or dormant accounts, HMRC etc) are the responsibility of the client purchasing the company. The position/status of these companies are verifiable on companies house website, HMRC and should be checked by the purchasing person to make sure that they correspond to your particular requirements and status. Once ownership  details have been returned companies cannot be cancelled or refunded.

Purchase of vintage companies are bought on the understanding that they and any forms that need filing to bring them up to date (e.g. annual return or dormant accounts, HMRC etc) are the responsibility of the client purchasing the company. This does not include filing of the annual return to transfer the shares which would require extra fees. The filing of the confirmation statement  would be done at the appropriate time by the new owners of the company. The position/status of these companies are verifiable on companies house website and should be checked by the purchasing person to make sure that they correspond to your particular requirements and status. Particular attention should be paid with regards to it’s filing position on whether accounts/returns have been filed or are outstanding as late filing can incur fines which will be the responsibility of the new owner of the company. The transfer of shares by filing a confirmation statement is not included in the costs of purchasing the company. The filing of the annual return would be done at the appropriate time by the new owners of the company.

Director’s Responsibility

Once Paramount has completed your formation it is from that point on the responsibility of the director to file all and any necessary filings with HMRC and Companies House on a yearly basis as required by law. It is the director’s responsibility to know when each filing is due and which body it is due to be filed with.

Registered Address Service

Please note that the registered address service is only for official mail and not a full-scale mail forwarding service. We do not provide a full scale mail  forwarding service. This facility is intended solely as an address for service of routine official mail only  (eg companies house, HMRC and other government bodies) and must not be used as a trading address or for collection and forwarding of general mail. Once ordered the address at companies house can be changed to our address either by yourself or by us. In order to receive this service, and to comply with UK local and national laws, the Client must provide to the Company copies of the following forms of identification, before any mail will be forwarded:

• A valid copy of a driving license, passport or European identity card;
• A valid copy of a utility bill, bank statement, local council or government letter that has the Client’s name and address on it.

Other government departments such as HMRC etc will be your own responsibility to inform. This service does not include the use of our telephone number this is strictly prohibited. Your stationery must not indicate this to be so. The registered address must be included on your business stationery. We accept no liability or responsibility for mail once within the hands of the Royal Mail service. We merely redirect mail to the address provided to us. The address for registered address purposes is 35 Firs Avenue, London N11 3NE. If it is brought to our attention that the company or persons acting on behalf of the company are not acting in a fit and proper fashion then the service will be terminated immediately without recourse.

Renewal Of Services (Registered Address or Service Address)

Paramount reserves the right to cancel services without further notice if any payments are not received in a reasonable timescale for the renewal of services
provided by Paramount including Registered Office, Correspondence Address or Nominee Services. This would usually be four weeks after the order was placed.

If the registered office or service address is not renewed within four weeks of the due date or an alternative address not provided to us, or the address is not changed at
Companies House, We reserve the right to change the address listed to that of one which we hold on file. We will also inform Companies House who may then change the address to their default address and the company will no longer be seen as in good standing.

VAT Applications / EORI Applications

Please note that once payment has been made due to the nature of this service all work is undertaken online immediately and therefore refunds/cancellations are not possible. All timescales for this service are approximate and not guaranteed. Applications may be subject to further checks required by HMRC this will affect the speed of applications. Paramount cannot be held responsible for delays caused by the client supplying incorrect/incomplete information or not answering all the questions on our emails. Due to the nature of these services cancellations and refunds are not possible once the service has been ordered. It is the client’s responsibility to ensure that all information is supplied as requested to Paramount and that any outstanding information is supplied to Paramount by the client and not the responsibility of Paramount. Please note we can only back date registration to a limit of three months. As the system is automated we accept no responsibility if the information is not returned in the accepted email format and has to be entered by hand. This is reflected in the price charged. If requested, we can request a backdating of your registration date, but any final decision on this obviously rest with HMRC EORI applications are subject to HMRC regulations. We carry out EORI registrations for UK based businesses. We will attempt to carry out any registrations for non UK EORI registrations but cannot guarantee their acceptance as usually these will need to be registered via the member state of the owner. The fees charged for these services do not include chasing HMRC or sending emails beyond requesting information from the client for any details we need to apply for the services. Once the applications have been made we have completed the service and no extra emails will be dealt with. Any extra work on these services are at Paramount’s discretion.

Money Laundering

Under International Money Laundering Regulations, Paramount Company Formations Limited, has an obligation to ensure that our services do not aid money laundering or any criminal activity.

The Proceeds of Crime Act 2002 and Money Laundering Regulations 2003 place some important obligations upon professional advisers from a wide range of sectors, including Tax advisers, Accountants, Auditors, Insolvency Practitioners and Legal advisers. Such professionals who carry on relevant business are required to fulfil a range of obligations to prevent money laundering.

In particular they are required to report their knowledge or suspicion of money laundering to the Authorities. This covers the proceeds of all crime including all acts of tax evasion and fraud.

We are obliged to check the identification (“ID”) of our clients in compliance with the Money Laundering Regulations 2007 our Money Laundering Regulations
number is 12515116 and the company name is Paramount Company Formations Ltd.

This would be a scanned copy of the director’s passport. We offer our Registered Office Service subject to you complying with this requirement.
Fees paid for our Registered Office Service are not refundable in the event you are unable to provide satisfactory ID.

No refunds are provided if you change your registered office address during the course of the year. We reserve the right in our sole discretion to terminate the Registered Office Service (with a refund if we do, for the unexpired term) in event of abuse of the service: for example by using it as a return address for faulty goods or returns.

Nominee Shareholder Service

Use of the nominee shareholder service is restricted to basic details only. The nominee will sign all necessary documentation required within a reasonable timescale. The nominee is not responsible for opening of bank accounts. This is the responsibility of the signatory. The signatory is responsible for providing all necessary documentation and I.D. required to satisfy the necessary due diligence checks. Use of this service is at the nominees discretion.

The signatory of the company is fully responsible for all actions and financial transactions undertaken by the company. Any disputes with regards to any aspects of the company are purely between the signatory and the nominee director. Paramount Company Formations Limited is purely the intermediary to facilitate the setting up of the company and nothing more.

The signatory agrees to indemnify Paramount Company Formations Limited against all actions, proceedings, claims or demands which may be against the company and to pay all costs and expenses which may be incurred in connection with such actions, claims or demands. These terms and conditions supersede any other terms and conditions between the nominee and signatory.

This service is provided by a named Limited Company registered at Companies House and is not a named individual. The service provided mainly involves the signing of documents usually signed on behalf of a Limited Company by our nominee Limited Company. By placing an order for any of our services it is assumed that you have read and understood the terms and conditions that apply.

Our nominee shareholder service will provide a nominee signature on your behalf for all bank account opening documentation.  However you as the main signatory will still need to initiate the account opening request with your chosen bank.  The nominee shareholder cannot do this on your behalf.  The bank will perform its own due diligence checks on both the main signatory and the nominee shareholder and you as the main signatory will be responsible for providing your own identification and supporting documentation in order to satisfy your chosen bank’s requirements.  Using the nominee shareholder service cannot guarantee that your chosen bank will approve your application. We will only use our own nominee agreement. This is available on request. The nominee shareholder fee is non-refundable.  By placing an order for any of our services it is assumed that you have read and understood the terms and conditions that apply. Please note that when using this service it is not suitable for those requiring a bank account through HSBC.

Nominee Services

Nominee services are paid on a “per annum or part thereof” basis. This means that the payment is of the full amount regardless of whether the service has been running for one day or the full year and not pro rata.

Nominee Secretary Service

This service is provided by a named Limited Company registered at Companies House and is not a named individual. The service provided mainly involves the signing of documents usually signed on behalf of a Limited Company by our nominee Limited Company which is always done by a particular director of the Limited Company. By placing an order for any of our services it is assumed that you have read and understood the terms and conditions that apply.

Timescales

Please note all fees are discounted fees based on the premise that once you have placed your order you will complete the necessary questionnaire within the specified time frame and without making any alterations to the standard specifications.

Please note that for all services once we have received your application we will request the necessary details to complete the service (by email). These details requested by us must be returned within 3 months of being requested. Failure to do so will cause the system to reject the application and as such the process will have to be begin again. All fees paid will be deemed to be forfeit and any application will need paying for again. Any disputes arising thereof will be at the sole decision of Paramount Company formations whose decision is final.

Limitations of Use

You may not use the website or the documents for any other purpose except for your own personal use.

As a condition of your use of this website, you warrant to us that you will not use this website for any purpose that is unlawful or prohibited by these terms, conditions, and notices.

Where you request a bank account through The Business Bank Account Referral Service you confirm that you agree to your details being submitted on your behalf to Barclays Bank UK plc and to being contacted directly by Barclays Bank UK plc for the purposes of fulfilling the bank account request.
Where you request a bank account through The Business Bank Account Referral Service on behalf of a third party for whom you are making a company formation application, you confirm that the third party has agreed to their details being submitted on their behalf to Barclays Bank plc and to being contacted directly by Barclays Bank UK plc for the purposes of fulfilling the bank account request.
The Business Bank Accounts are opened by and provided by Barclays Bank UK plc and subject to the terms and conditions as set forth by Barclays at the time of account opening.
